Last Updated: October 21, 2026

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN A PRIZE.

By participating in this CONTEST you declare that you have read AND AGREE TO BE LEGALLY BOUND BY the Official Rules below.

1. Agreement to These Rules

1.1 Sponsor. The Astrocade Creator Contest (the "Contest") is sponsored and administered by Astroblox, Inc., doing business as Astrocade ("Astrocade," "we," "us," or "our"), 300 Hamilton Ave, Palo Alto CA 94301.

1.2 Binding contract. These Official Rules (the "Rules") are a binding contract between you and Astrocade. You accept these Rules when you submit an Application, and you reaffirm them each time you take part in any stage of the Contest. If you do not agree to every provision of these Rules, do not apply and do not participate.

1.3 Incorporated terms. The Astrocade Terms of Service and the Astrocade Privacy Policy are incorporated into these Rules. The Contest Instructions described in Section 8.2, as communicated by Astrocade from time to time, are also incorporated into these Rules. If the Terms of Service or the Privacy Policy conflict with these Rules on a matter concerning the Contest, these Rules control.

1.4 These Rules control over all other statements. In the event of any discrepancy or inconsistency between these Rules and any statement, representation, or other information contained in any advertising, promotional materials, launch video, social media post, Contest website, press materials, or other written or oral communication concerning the Contest, these Rules will govern and control. No such statement changes these Rules or creates any obligation on the part of Astrocade.

1.5 No purchase necessary. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO APPLY, PARTICIPATE, OR WIN. A PURCHASE OR PAYMENT WILL NOT AFFECT A CONTESTANT’S ELIGIBILITY, EVALUATION, OR ABILITY TO WIN. The Contest is a contest of skill. Winners are determined based on each Contestant’s skill in creating engaging playable content and in creating and distributing short-form video content featuring that playable content, as measured by valid Plays and Qualified Views in accordance with these Rules. No element of chance is used to determine the winner. This Contest is subject to all applicable federal, state, local and municipal laws. The Contest is void where prohibited or restricted by applicable law.

2. Astrocade's Right to Change, Postpone, or Cancel

2.1 Before the Contest Period begins. At any time before the Contest Period begins, Astrocade may, in its sole discretion, cancel, postpone, suspend, shorten, extend, or modify the Contest or any part of it. This right applies after Applications have been submitted, after interviews have been conducted, and after Contestants have been selected, notified, or publicly announced. Astrocade may exercise this right for any reason it determines appropriate, including, without limitation, the number or quality of Applications received, product readiness, legal or regulatory considerations, and Astrocade's business priorities. If Astrocade cancels the Contest before the Contest Period begins, no prize will be awarded, and Astrocade will have no obligation or liability of any kind to any Applicant or Contestant.

2.2 All dates may change. All dates and times stated in these Rules, any Contest Instructions, or other Contest materials are subject to change by Astrocade. Astrocade may change any date or time, in its sole discretion, including the Application deadline, the selection and interview dates, the start date, the beginning or end of the Contest Period, the length of the Audit, and the date of the winner announcement. Astrocade will communicate any material change to the Contest Period through the Official Channel. The Contest Period begins only at the date and time that Astrocade designates as the official start in a notice sent through the Official Channel.

2.3 Format may change. Before and during the Contest Period, Astrocade may, in its sole discretion, add, remove, or change any element of the Contest format. This includes the number of Contestants, the weekly requirements, elimination rounds challenges, themes, and any product feature or surface used in connection with the Contest. During the Contest Period, Astrocade will not make a format change that materially alters the criteria or methodology used to determine the winner, except as permitted under Section 2.4. A change takes effect when Astrocade announces it through the Official Channel, unless the announcement states a different effective time.

2.4 During the Contest Period. Astrocade reserves the right to disqualify any Contestant that Astrocade determines, in its sole discretion, violates these Rules. Astrocade reserves the right, in its sole discretion, to cancel, terminate, suspend and/or modify the Contest, or any part of it, at any time, without notice. After the Contest Period begins, if this Contest is not able to be conducted as planned, including, but not limited to, by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, cheating, technical failure, platform outage, legal or regulatory developments, or any other causes beyond the reasonable control of Astrocade which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Astrocade reserves the right at its sole discretion to suspend, modify, shorten, extend, cancel or terminate the Contest, or any part of it, and award the Grand Prize from the eligible Contestant with the highest Final Score as of the termination or suspension date..

2.5 Scoring changes apply to all remaining Contestants. A change to scoring that Astrocade makes during the Contest Period applies to all remaining Contestants on the same terms on a prospective basis from the time it is announced. This Section 2.5 does not limit Astrocade's rights to exclude Invalid Plays, to exclude playables, or to eliminate or disqualify any Contestant under these Rules.

2.6 No reliance. You apply and participate with full knowledge of Astrocade's rights under this Section 2. Any time, money, effort, or opportunity that you spend or give up in connection with the Contest is at your own risk. Astrocade will not reimburse or compensate you for any of it under any circumstances, including cancellation, postponement, or a change in format or dates.

2.7 Notice. Astrocade will give notice of a cancellation, a postponement, or a material change through the Official Channel, by email to the address in your Application, or by posting on the Contest website. Notice is effective when it is sent or posted.

5.2 Individuals only. Only individuals may apply and compete. Teams, companies, agencies, and other entities are not eligible. A Contestant may receive help from other people as described in Section 9.3, but only the individual Contestant competes, and only the individual Contestant can win.

5.3 Excluded persons. The following persons are not eligible to apply, compete, or win: employees, officers, and directors of Astrocade and its affiliates; any person or agency engaged to administer, host, produce, or determine the outcome of the Contest; and the immediate family members (spouse, domestic partner, parents, children, and siblings, and their respective spouses) and household members of any of those persons.

5.4 Existing Astrocade creators. Existing Astrocade creators who meet the requirements of this Section 5 are eligible.

5.5 Verification of identity and location. Astrocade may verify your identity, age, residency, location, and social media accounts at any time and by any means, including government-issued identification, tax documents, payment information, IP address, and device data. Any personal data collected in connection with the Contest will be handled in accordance with Astrocade’s Privacy Policy and applicable law. Using a VPN, proxy, or any other method to misrepresent your location, or providing false or misleading information of any kind, is grounds for rejection or disqualification.

5.6 Sanctions. Persons who are subject to United States sanctions or who appear on any United States government restricted-party list are not eligible.

5.7 Astrocade's discretion. Astrocade determines eligibility in its sole discretion. Astrocade may change or waive any eligibility criterion at any time and for any person.

6. How to Apply

6.1 Application. To apply, complete the Application at https://www.astrocade.com/contests/100k-creator-contest-2026/apply before the Application deadline. The Application currently requires your name, age, location, phone number, email address, social media platforms and handles, a written response, and a video of up to 60 seconds. Astrocade may change the Application requirements at any time.

6.2 One Application per person. You may submit one Application. If you submit more than one Application, or apply using more than one identity, Astrocade may reject all of your Applications.

6.3 Application standards. Everything in your Application must be true, complete, and your own original work. Your Application Materials must comply with the content standards in Section 17.3.

6.4 No responsibility for failed Applications. Astrocade is not responsible for Applications that are lost, late, incomplete, corrupted, misdirected, or not received, for any reason.

6.5 Application Materials are not confidential. Application Materials are not confidential and will not be returned. Astrocade has no obligation to review, acknowledge, or respond to any Application. Astrocade receives many ideas and may already be developing, or may later develop, content, features, or concepts that are similar or identical to ideas contained in your Application Materials. You are not entitled to any compensation or credit in connection with any such similarity or with Astrocade's use of any idea.

6.6 Applying is not entering. Submitting an Application is a request to be considered. It does not make you a Contestant, and it does not give you any right to compete, to be interviewed, to receive feedback, or to win anything.

7. Selection of Contestants

7.1 Sole discretion. Astrocade selects Contestants in its sole and absolute discretion. The selection process may include automated screening, ranking, review of your Application Materials and public social media presence, a live video interview, and a background check. Astrocade may consider any factor that it considers relevant, including creativity, audience, content style, communication, reliability, availability, and the overall mix of Contestants. Astrocade has no obligation to give any factor any particular weight, to use the same factors for every Applicant, to explain any decision, or to give feedback. All selection decisions are final and cannot be appealed.

7.2 Direct invitations. Astrocade may invite any person to apply or to participate directly, and Astrocade may waive or modify any application step or selection criterion for any person. Every Contestant is bound by these Rules regardless of how that Contestant was selected.

7.3 Number of Contestants. Astrocade currently expects to select approximately 25 Contestants. Astrocade may select more or fewer Contestants, or none. Astrocade may name alternates, and may add or replace Contestants at any time, including during the Contest Period.

7.4 Interviews. Interviews may be recorded. You consent to the recording, and the recording is Contest Content owned by Astrocade under Section 18.

7.5 Acceptance and onboarding. If you are selected, you must confirm your acceptance within the time stated in your notice, complete all onboarding steps, and provide every document that Astrocade requests. Requested documents may include identity verification, an IRS Form W-9, a background check authorization, and a written reaffirmation of these Rules. If you do not complete these steps on time, Astrocade may give your place to another person.

7.6 Selection creates no rights before the start. Being selected, notified, or announced as a Contestant does not give you any right to compete or to win until the Contest Period begins. Astrocade's rights under Section 2.1 continue to apply in full after selection.

7.7 Confidentiality of selection. You must keep your selection status and any other nonpublic information Astrocade provides to you regarding your selection confidential until Astrocade announces it publicly or gives you written permission to disclose it.

8. Contest Format and Requirements

8.1 Overview. During the Contest Period, Contestants create and publish Eligible Playables on the Platform, create and post Registered Videos featuring those Eligible Playables on Eligible Social Platforms, and share them with their audiences. Contestants are ranked by Final Score.

8.2 Contest Instructions. Astrocade will communicate operational requirements and instructions to Contestants through the Official Channel. These Contest Instructions may cover weekly requirements, participation and content requirements, tagging and submission procedures, video registration and disclosure requirements, and the timing and terms of eliminations, resets, and challenges. Astrocade may add to or change the Contest Instructions at any time. Contest Instructions are binding when Astrocade sends or posts them, Contestants must comply with them as a condition of continued participation in the Contest.

8.3 Weekly requirements. Unless Astrocade announces otherwise, in each Week every Contestant must publish at least 7 Eligible Playables and post at least 7 Registered Videos. Astrocade may set additional weekly requirements in the Contest Instructions. Contestants may exceed the minimums, and there is no limit on the number of Eligible Playables a Contestant may publish or Registered Videos a Contestant may post. A Registered Video is posted for purposes of these Rules when its first Posting is publicly available on an Eligible Social Platform and it has been submitted to Astrocade under Section 10A.1. A playable is published for purposes of these Rules when Astrocade has approved it and made it publicly available on the Platform, not when it is submitted for review. Astrocade does not guarantee that any playable will be reviewed or approved within any particular period, and each Contestant is responsible for allowing sufficient time for review and approval prior to the applicable deadline.

8.4 Eliminations. Astrocade may conduct one or more elimination rounds at any time, with or without advance notice. Unless Astrocade announces a different basis, eliminations are based on the lowest Final Scores at the time that Astrocade designates. Astrocade may also eliminate any Contestant who has not met the weekly requirements, who has stopped participating, or who, in Astrocade's discretion, is not making a genuine effort, regardless of that Contestant's Final Score. An eliminated Contestant is no longer eligible for the Grand Prize and will cease to accumulate Final Score for purposes of the Contest as of the effective time of elimination.

8.5 Leaderboard resets. Astrocade may reset Final Scores, to zero or otherwise, one or more times, at any time, with or without advance notice, provided that any reset will apply to all remaining Contestants on the same terms. When Astrocade announces a reset, it will state the effective time of the reset and which Eligible Playables, Plays, Registered Videos, and Qualified Views count toward the Final Score following the reset. Unless the announcement states otherwise, after a reset only Plays that occur after the reset, on Eligible Playables first published after the reset, and only Qualified Views on Registered Videos first posted after the reset, count toward Final Score.

8.6 Challenges and bonus scoring. Astrocade may announce challenges, themes, bonuses, multipliers, or other scoring mechanics that affect Final Score. The terms that Astrocade announces through the Official Channel are binding on all Contestants and will apply as specified in the applicable announcements, subject to these Rules.

8.7 Leaderboards are unofficial. Any leaderboard, ranking, play count, view count, or statistic shown on the Platform or shared by Astrocade during the Contest is unofficial and preliminary. It may be delayed or inaccurate, and it may include plays or views that Astrocade later excludes. Only Astrocade's final determination under Section 14 establishes any Contestant's Final Score or rank.

8.8 Participation and cooperation. Contestants must complete onboarding, monitor the Official Channel, respond promptly to communications from Astrocade, and cooperate with reasonable requests relating to the Contest, including requests for interviews and filming.

8.9 Withdrawal. A Contestant may withdraw at any time by written notice to Astrocade. A Contestant who withdraws is no longer eligible for the Grand Prize.

8.10 No compensation. Contestants receive no fee, salary, reimbursement, or other compensation for participating. Participation provides an opportunity to compete for the Grand Prize, and Eligible Playables may remain eligible for standard creator monetization as described in Section 10.6. Each Contestant bears all of their own costs and expenses.

9. Eligible Playables

9.1 Requirements. A playable is an Eligible Playable only if Astrocade determines that it meets all of the following requirements:

  1. It was created on the Platform and published through your Designated Account.
  2. Its creation began during the Contest Period, and it was first published during the Contest Period, or during the scoring window announced after a reset, if applicable.
  3. It is original. It is not a remix, copy, fork, or re-publication of any other playable, including another creator's playable, any playable that existed before the Contest Period, and your own playables, unless Astrocade expressly permits remixes of your own Eligible Playables.
  4. It passed Astrocade's review, and it complies with the Astrocade Terms of Service, Astrocade's content guidelines, and the content standards in Section 17.3.
  5. It is identified as a Contest playable in the manner that Astrocade requires.
  6. It remains publicly available on the Platform through the winner announcement, unless Astrocade removes it.

9.2 One Designated Account. Each Contestant may use only one Designated Account. Playables published through any other account do not count.

9.3 Help from other people. You may receive help from other people in creating your playables and your other Contest Content. You are fully responsible for everything published through your Designated Account and your social accounts, and for the conduct of everyone who helps you. The acts and omissions of anyone who helps you are treated as your own under these Rules. You hereby acknowledge that you have all rights in their contributions that are necessary to grant the licenses in Section 18. No person who helps you has any claim against Astrocade or any right to any part of the Grand Prize.

9.4 Duplicative and low-effort playables. For purposes of the weekly requirements and of Final Score, Astrocade may exclude, or may treat as a single playable, any playables that Astrocade considers duplicative, substantially similar to one another, low-effort, or published primarily to inflate a count.

9.5 Astrocade's determination. Astrocade determines in its sole discretion whether any playable is an Eligible Playable. Astrocade may reject, remove, or unpublish any playable under the Terms of Service or these Rules.

9.6 Third-party materials. If a playable includes any material that you did not create on the Platform, you must own that material or hold a valid license that permits its use in the playable and permits the license grants in Section 18.

10. Scoring

10.1 Final Score. A Contestant's "Final Score" is the sum of that Contestant's Play Points and View Points during the applicable scoring window, as adjusted for any reset, bonus, challenge, exclusion or other scoring adjustment under these Rules. "Play Points" equals the number of Plays, as counted by Astrocade, on that Contestant's Eligible Playables, excluding plays attributable to Paid Amplification under Section 10A.5. "View Points" equals the sum, across that Contestant's Registered Videos, of the Qualified Views on each Registered Video's Counted Posting, divided by 5 and rounded down to the nearest whole number. Astrocade may announce a different divisor through the Official Channel before the Contest Period begins, and the divisor in effect when the Contest Period begins applies for the entire Contest Period, subject to Section 8.6. Subject to any elimination, reset, challenge, bonus, or other scoring mechanic described in these Rules or announced in accordance with them, the eligible Contestant with the highest Final Score after the Audit will be the potential winner of the Grand Prize, subject to the tiebreaker in Section 14.4 and verification of eligibility and compliance with these Rules

10.2 Plays are determined solely by Astrocade. Astrocade determines Plays using its own internal data and methodology, including how a start of a playable is recorded and how duplicate, repeated, or automated starts are treated. The specific data, thresholds, algorithms, signals, and other components of that methodology are proprietary and will not be disclosed. Astrocade may change its methodology at any time, subject to Section 2.5. Astrocade has no obligation to provide any data, logs, or explanation to any Contestant. Third-party analytics, screenshots, and any leaderboard are not evidence of a Final Score. Astrocade’s internal records will control in determining Plays and Final Scores.

10.3 Invalid Plays. Astrocade may exclude any play that it determines, in its sole discretion, is an Invalid Play. Astrocade is not required to prove that a play is an Invalid Play or to give notice before excluding it. "Invalid Play" means any play that Astrocade determines:

  1. was generated by a bot, script, emulator, click farm, or any other automated or artificial means;
  2. was made by you, by anyone helping you, or through any device or account under your or their control, for the purpose of increasing a play count;
  3. resulted from paid advertising, paid promotion, boosted posts, or paid traffic of any kind, purchased by you or by anyone on your behalf;
  4. was induced by payment, prizes, giveaways, rewards, or anything else of value, or resulted from an exchange of plays;
  5. came from a fake, duplicate, newly created, or suspicious account, or from a masked or misrepresented location;
  6. resulted from deceptive or misleading links or descriptions, forced or automatic redirects, embedding, or auto-launching;
  7. resulted from the exploitation of a bug or vulnerability;
  8. otherwise resulted from a violation of these Rules or the Terms of Service; or
  9. is commingled with any of the activity described above in a way that prevents Astrocade from reliably separating valid plays from invalid ones.

10.4 Permitted promotion. Sharing your Eligible Playables organically with your own audience through your own social channels, and asking people to play them, is permitted and encouraged, subject to Section 17.

10.5 Plays from Astrocade's distribution. Except as provided in Section 10A.5, plays and views that result from Astrocade's own featuring, recommendation systems, reposting, or marketing are valid plays and views. No Contestant may object to a result or challenge Final Score on the ground the Contestant or any other Contestant benefited from Astrocade's distribution.

10.6 Standard monetization. Eligible Playables remain eligible for Astrocade's standard creator monetization under its then-current program terms. Invalid Plays do not count toward monetization. Plays attributable to Paid Amplification are not Invalid Plays and remain eligible for standard monetization. Monetization is separate from the Contest and is not part of any prize.

10A. Video Scoring

10A.1 Registered Videos. A video is a Registered Video only if Astrocade determines that it meets all of the following requirements:

  1. It was posted from a Registered Handle on an Eligible Social Platform during the Contest Period, or during the scoring window announced after a reset, if applicable.
  2. It features one or more of your Eligible Playables in the manner that Astrocade requires.
  3. It complies with the Contest Instructions, including any tagging, captioning, and disclosure requirements.
  4. It was submitted to Astrocade in the manner and within the time that Astrocade requires, together with every Posting of it.
  5. It complies with Section 17 and with the terms of each Eligible Social Platform on which it is posted.
  6. Each Posting of it remains publicly available through the winner announcement, unless Astrocade requires its removal.

10A.2 Postings and Counted Posting. A Registered Video may be posted on more than one Eligible Social Platform. Every Posting of the same video must be submitted together as a single Registered Video. For each Registered Video, the "Counted Posting" is the single Posting with the highest number of Qualified Views as of the end of the Contest Period, as determined by Astrocade. Only the Counted Posting counts toward View Points. Astrocade may treat any videos that it considers to be the same video or substantially similar, including re-uploads, re-edits, and duplicates, as a single Registered Video with a single Counted Posting. Section 9.4 applies to Registered Videos in the same manner as it applies to playables.

10A.3 Measurement. Astrocade determines the number of views on each Posting using data from the Eligible Social Platforms, third-party measurement providers that Astrocade selects, and any other source that Astrocade considers reliable. Only views recorded as of the end of the Contest Period, as measured by Astrocade or its providers, count toward Final Score. If a data source is unavailable, delayed, or in Astrocade's judgment unreliable, Astrocade may use any other reasonable method, including estimates. Third-party analytics, screenshots, and any leaderboard are not evidence of a Final Score. Astrocade's internal records will control in determining Qualified Views and View Points. Astrocade has no obligation to provide any data, logs, or explanation to any Contestant.

10A.4 Qualified Views. "Qualified Views" means the views on a Posting as measured under Section 10A.3, excluding Invalid Views and views attributable to Paid Amplification.

10A.5 Paid Amplification. Astrocade may run Paid Amplification of any Contest Content during or after the Contest Period under Section 18.5. Views and plays attributable to Paid Amplification do not count toward Final Score. Astrocade will determine the views and plays attributable to Paid Amplification using its advertising records and any other data that it considers relevant, and may use reasonable estimates. Astrocade applies this exclusion to each Posting before determining the Counted Posting. Plays attributable to Paid Amplification are not Invalid Plays. Astrocade has no obligation to run Paid Amplification for any Contestant. Whether, when, and to what extent Astrocade runs Paid Amplification for any Contestant, and any direct or indirect effect it has on any Contestant's views or plays, are not grounds for any objection to a Final Score or result.

10A.6 Invalid Views. Astrocade may exclude any view that it determines, in its sole discretion, is an Invalid View. Astrocade is not required to prove that a view is an Invalid View or to give notice before excluding it. "Invalid View" means any view that Astrocade determines:

  1. was generated by a bot, script, view service, or any other automated or artificial means;
  2. resulted from paid advertising, boosting, promoted posts, or paid traffic of any kind, purchased by you or by anyone on your behalf;
  3. resulted from engagement groups, view exchanges, or any coordinated viewing arrangement;
  4. was induced by payment, prizes, giveaways, rewards, or anything else of value;
  5. occurred on a repost, duplicate, or re-upload of a Registered Video rather than on a Posting submitted under Section 10A.2;
  6. came from a fake, duplicate, or suspicious account, or from a masked or misrepresented location;
  7. otherwise resulted from a violation of these Rules, the Terms of Service, or the terms of the applicable Eligible Social Platform; or
  8. is commingled with any of the activity described above in a way that prevents Astrocade from reliably separating valid views from invalid ones.

10A.7 Platform disclosure labels. Using a branded content, paid partnership, or similar disclosure label or tool provided by an Eligible Social Platform, where the Contest Instructions or applicable law require it, is not paid advertising or paid promotion for purposes of these Rules.

11. Prohibited Conduct

You must not do, attempt, encourage, or permit any of the following:

  1. generate or benefit from Invalid Plays or Invalid Views, purchase views or engagement, or run paid advertising, boosting, or paid promotion of any kind for your playables or your Registered Videos;
  2. use more than one account, or use another person's account, to publish playables or post Registered Videos, or to increase plays or views;
  3. provide false, incomplete, or misleading information to Astrocade at any time;
  4. interfere with another Contestant's playables, account, or social media posts, including through false reports, coordinated negative activity, or automated means;
  5. collude with any other Contestant or any third party to manipulate Final Scores, eliminations, or the outcome of the Contest;
  6. tamper with, probe, or attempt to reverse-engineer the Platform, its scoring, or its fraud detection;
  7. harass, threaten, or abuse any Contestant, player, member of the public, or Astrocade personnel;
  8. offer anything of value to Astrocade personnel or to the host in connection with the Contest;
  9. infringe or violate any third party's rights, or violate any law;
  10. disclose confidential information in violation of Section 20.4; or
  11. engage in any conduct that, in Astrocade's judgment, harms or could harm the reputation of Astrocade or the Contest, or that brings you into public disrepute.

12. Disqualification and Enforcement

12.1 Astrocade's enforcement rights. Astrocade may, in its sole discretion and at any time, take any enforcement action that it determines appropriate against an Applicant or Contestant. Enforcement actions include issuing a warning, excluding plays, excluding playables, adjusting a Final Score, suspending participation, eliminating or disqualifying the person, barring the person from future Astrocade programs, and suspending or terminating the person's Astrocade account. Astrocade may act before, during, or after the Contest Period, including after a winner has been announced or the Grand Prize has been awarded or paid.

12.2 Grounds. Grounds for enforcement action include any violation of these Rules, any Contest Instructions, or the Terms of Service; failure to meet a weekly requirement; inactivity; ineligibility; false or misleading information; any conduct prohibited by Section 11; and failure to cooperate with a request under Section 12.4.

12.3 No warning or cure period required. Astrocade is not required to give a warning, a cure period, or reasons before taking any enforcement action.

12.4 Investigations. Astrocade may investigate any suspected violation. On request, you must provide any information that Astrocade considers relevant, within 3 business days. This information may include traffic-source data, social media analytics, advertising account records, device and account information, and communications. On request, you must connect each Registered Handle to any measurement tool that Astrocade designates, grant Astrocade read-only access to the native analytics for your Registered Handles and Postings, and demonstrate those analytics to Astrocade live on a recorded video call. Failure to provide complete and accurate information on time is a ground for disqualification.

12.5 Effect of disqualification. A disqualified Contestant is not eligible for the Grand Prize. Astrocade's rights under Sections 17 to 19 continue in full after elimination, disqualification, or withdrawal.

12.6 Return of the Grand Prize. If Astrocade determines, after the Grand Prize has been paid, that the winner was ineligible to win or engaged in fraud, cheating, Invalid Plays or other conduct that would have resulted in disqualification if discovered prior to awarding of the Grand Prize, the winner must return the full Grand Prize within 30 days of Astrocade's written demand, to the extent permitted by applicable law. Astrocade may then award the Grand Prize to another Contestant or decline to award it again.

12.7 Decisions are final. Every decision that Astrocade makes under this Section 12 is final and binding and cannot be appealed.

12.8 Other remedies. ANY ATTEMPT TO DAMAGE THE PLATFORM OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY VIOLATE CRIMINAL AND CIVIL LAW. Astrocade reserves the right to seek damages and every other available remedy from any person responsible, to the fullest extent permitted by law.

13. Distribution, Support, and Platform Availability

13.1 No guarantee of distribution. Astrocade does not guarantee any Contestant or any playable any level of distribution, visibility, placement, or plays. Astrocade may create, change, or discontinue any Contest row, featured surface, leaderboard, recommendation system, or other product feature at any time. Placement and distribution may differ between Contestants and between playables and any such differences do not, by themselves, provide a basis to challenge a Final Score or Contest result. Astrocade does not control any Eligible Social Platform and is not responsible for the distribution, visibility, view counting, or availability of any Posting on any Eligible Social Platform.

13.2 Support. Astrocade may provide onboarding, education, feedback, creative input, and technical assistance to Contestants in its discretion. The type and amount of support may differ between Contestants. Each Contestant remains solely responsible for creating and publishing their Eligible Playables and for their performance in the Contest, regardless of any support provided by Astrocade. Whether any Contestant received or did not receive support is not a ground for any claim against Astrocade or for any objection to a result.

13.3 Review times. Any review time or turnaround time that Astrocade states is a target and is not guaranteed.

13.4 Platform provided as is. Subject to Section 21.3, the Platform and its creation tools are provided AS IS and AS AVAILABLE, without any guarantee that they will be uninterrupted or error free. Astrocade is not responsible for outages, bugs, errors, data loss, changes to tools or models, or delays. Astrocade may, but is not required to, extend a deadline, restore or adjust a score or adjust a requirement because of a technical issue.

13.5 Informal statements. Advice, feedback, estimates, and other informal statements from Astrocade personnel or from the host do not bind Astrocade and do not modify these Rules.

14. Determining the Winner

14.1 End of counting. Plays and views stop counting toward Final Score at the end of the Contest Period, as measured by Astrocade's official clock.

14.2 Audit. After the Contest Period ends, Astrocade will conduct an Audit of Final Scores. Astrocade currently expects the Audit to take up to approximately 10 business days, and Astrocade may extend the Audit as Astrocade deems is necessary to complete its review. In the Audit, Astrocade may review any Contestant, exclude Invalid Plays, Invalid Views, ineligible playables, and ineligible videos, request information under Section 12.4, and apply any other provision of these Rules. Astrocade's internal records are the sole official record of all plays, views, and Final Scores.

14.3 Potential winner. The potential winner is the eligible Contestant with the highest Final Score after the Audit, as determined by Astrocade. The potential winner is not the winner, and has no right to the Grand Prize, until that person has completed verification under Section 16 and Astrocade has confirmed the result in writing. This is true even if a leaderboard, an announcement, or any communication indicates otherwise.

14.4 Tiebreaker. If two or more eligible Contestants have the same Final Score after the Audit, the tie will be resolved in the following order. First, the tied Contestant with the higher Play Points ranks higher. Second, if a tie remains, the tied Contestant with the highest number of Plays on a single Eligible Playable ranks higher. Third, if a tie remains, the tied Contestant who published the greater number of Eligible Playables during the applicable scoring window ranks higher. Fourth, if a tie still remains, the tied Contestant who first reached the tied Final Score, according to Astrocade's records, ranks higher.

14.5 Alternate winners. If the potential winner is disqualified, is found ineligible, fails to complete verification on time, or declines the Grand Prize, the eligible Contestant with the next-highest Final Score becomes the potential winner, and this process repeats as necessary. If no eligible Contestant remains, the Grand Prize will not be awarded.

14.6 Final and binding. Astrocade's determinations of Final Scores, rankings, eliminations, and the winner are final and binding. Astrocade has no obligation to disclose any Contestant's scores or data to anyone.

15. Prize

15.1 Grand Prize. There is one Grand Prize of US$100,000 in cash, awarded to one winner. There are no other prizes unless Astrocade announces them.

15.2 Increases and additional prizes. Astrocade may increase the Grand Prize or add additional prizes at any time. Astrocade will not reduce the Grand Prize after the Contest Period begins.

15.3 No transfer or substitution. The Grand Prize is not transferable or assignable. No substitution is permitted, except by Astrocade in its sole discretion.

15.4 Taxes. The winner is solely responsible for all federal, state, and local taxes on the Grand Prize. Astrocade will report the Grand Prize to tax authorities, will issue an IRS Form 1099 to the winner, and may withhold any amount that the law requires it to withhold.

15.5 Skill-based determination. The Grand Prize is awarded based on skill and performance with the scoring and winner-selection procedures described in these Rules.

15.6 Paid to the winner only. Astrocade will pay the Grand Prize only to the verified winner. Astrocade is not responsible for, and will not take part in, any arrangement or dispute between the winner and any other person about sharing the Grand Prize.

16. Winner Verification and Payment

16.1 Notification. Astrocade will notify the potential winner using the contact information in that person's Application or through the Official Channel. The potential winner must respond within 3 business days and must return every required document within 7 days of notification.

16.2 Required documents. Required documents may include government-issued photo identification, a completed IRS Form W-9, payment details, and a signed affidavit of eligibility and compliance. The affidavit will include a sworn statement that the potential winner did not use paid advertising, purchased views, automated means, or any other source of Invalid Plays or Invalid Views. Where the law allows, required documents also include a liability release and a publicity release. Astrocade may require a background check and any other verification that it considers appropriate.

16.3 Forfeiture. If the potential winner does not respond or does not complete verification on time, or if Astrocade determines, in its sole discretion, that it cannot verify the potential winner’s eligibility or compliance with these Rules, that person forfeits the Grand Prize, and Section 14.5 applies.

16.4 Payment. Astrocade will pay the Grand Prize in a single payment, by a method that Astrocade chooses, within 30 days after verification is complete and Astrocade has confirmed the result in writing. Any oversized or presentation check is ceremonial and has no cash value.

16.5 Winner obligations. As a condition of receiving the Grand Prize, the winner must keep the result confidential until Astrocade announces it, take part in the winner announcement, take part in a filmed prize presentation at a time and place that Astrocade reasonably arranges, and publish a winner post coordinated with Astrocade.

16.6 Winner's name. To request the name of the winner, email support@astrocade.com within 3 months after the end of the Contest Period.

17. Content Requirements

17.1 Posting about Astrocade or the Contest. When you post about Astrocade or the Contest, you must follow the Contest Instructions.

17.2 Audio and third-party material. Contest Content may include only audio, music, footage, images, and other material that you created or for which you have obtained all rights, licenses, permissions and consents necessary for your use and for Astrocade’s use as permitted by these Rules. Do not use music or sounds from a platform library that is licensed only for personal or organic use, unless you also keep a clean version of the same content without that audio. On request, you must deliver the clean version to Astrocade.

17.3 Content standards. All Contest Content, including playables, social media posts, and Application Materials, must not:

  1. infringe or violate any copyright, trademark, right of publicity, right of privacy, or other right of any person;
  2. include the name, image, likeness, or voice of any identifiable person other than you, unless you hold all permissions and releases necessary for the uses contemplated by these Rules;
  3. include or depict any person under 18 years old;
  4. contain sexual, hateful, harassing, defamatory, deceptive, dangerous, or unlawful material, or gratuitous violence;
  5. contain political campaigning or advocacy;
  6. promote, or include sponsorship by, any third-party brand, product, or service, unless Astrocade has approved it in writing;
  7. disparage Astrocade, its personnel, the host, or any other Contestant; or
  8. violate any applicable terms or policies of the Platform or any third-party platform on which it is published.

17.4 Removal and edits. Astrocade may require you to edit or remove any Contest Content at any time. Content that is removed or that does not comply with this Section 17 does not count toward any requirement or Final Score.

17.5 Your responsibility. Astrocade does not pre-approve Contest Content and is not responsible for it. You are solely responsible for your Contest Content and for its compliance with law, these Rules and with the terms of every platform that you use.

18. Rights and License

18.1 Ownership. As between you and Astrocade, you retain all right, title and interest in the Contest Content that you create or make available, subject to Astrocade’s Terms of Service and to the licenses in this Section 18. Astrocade owns all right, title and interest in all content and materials that Astrocade or its production partners create or record in connection with the Contest, including footage, photographs or recordings of you, together with the Contest format, the leaderboard, the Platform and all play data and scoring data, including all associated intellectual property rights contained in each of the foregoing.

18.2 License to Contest Content. You hereby grant Astrocade and its affiliates a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid, transferable license, sublicensable through multiple tiers, to use, host, store, reproduce, distribute, publish, publicly display, publicly perform, edit, cut, adapt, modify, translate, caption, combine with other material, and create derivative works from and otherwise exploit your Contest Content, in whole or in part, in any media or format now known or later developed. The license covers any purpose connected with Astrocade's business or for any lawful purpose. Those purposes include operating and promoting the Contest and future Astrocade programs; marketing, advertising, and promoting Astrocade and its products and services; developing, improving and/or commercializing Astrocade’s current and future products and services; paid advertising on any platform or channel; press, investor, and partner materials; and any internal use. Astrocade may exercise this license without notice to you, without your approval, without credit to you, and without any payment or compensation to you.

18.3 Name and likeness. You hereby grant Astrocade and its affiliates the same rights, on the same terms as under Section 18.2, to use your name, social media handles, voice, image, likeness, biographical information, statements, appearance, performance, and Contest results. This grant expressly includes use in paid advertising and other commercial and promotional uses. You hereby waive any right to inspect or approve any use of the foregoing, including any edited, modified, or combined use. To the fullest extent the law allows, you waive all moral rights in your Contest Content, and you hereby release Astrocade and its affiliates, licensees, and sublicensees from any claim for invasion of privacy, violation of the right of publicity, or defamation that arises from a use permitted by these Rules, including edited uses.

18.4 Raw footage and source files. You must keep all raw and unedited footage, project files, and source files for your Contest Content for at least 12 months after the Contest Period ends. Any materials delivered under this Section are Contest Content and are subject to the license in Section 18.2. You must deliver any of these materials to Astrocade within 3 business days following Astrocade’s request, in the format that Astrocade reasonably requests. A failure to deliver is a ground for disqualification. If the failure occurs before the Grand Prize is awarded, it may also result in forfeiture of the Grand Prize. If the failure prevents Astrocade from verifying that the winner was eligible to win or complied with requirements material to the determination of the winner, Section 12.6 applies.

18.5 Advertising authorizations. Within 2 business days following Astrocade’s request, you must give Astrocade every code, permission, and account authorization that Astrocade requires in order to run your social media posts and other Contest Content as advertisements, including from your own handle. You are not required to provide Astrocade with your password or other general login credentials. These authorizations include TikTok Spark Ads codes, Meta partnership ad permissions, and the equivalent tools on other platforms. You must grant each authorization for the duration that Astrocade requests, up to 12 months at a time, and renew it on request. You must not revoke an authorization or remove the underlying post while Astrocade's advertising is running or during the period for which you have granted the applicable authorization. Views and plays attributable to Astrocade's advertising under this Section 18.5 are excluded from Final Score as described in Section 10A.5.

18.6 Recording. You hereby consent to Astrocade and its production partners photographing, recording and filming you in connection with the Contest, including in interviews, calls, workshops, events, and the prize presentation. Astrocade owns all right, title and interest in these photographs, recordings and footage.

18.7 Other people in your content. You must obtain a written release from every identifiable person who appears in your Contest Content and from every person who contributes to it. You must provide copies of those releases to Astrocade upon request.

18.8 Survival. The rights that you grant in this Section 18 are effective from the moment you submit your Application. They continue in full force and effect if you are not selected, if you withdraw, if you are eliminated or disqualified, after the Contest ends, and if the Contest is postponed or cancelled.

18.9 No obligation to use. Astrocade has no obligation to use, feature, publish, or promote any Contest Content or any Contestant.

18.10 Ideas and feedback. Any idea, suggestion, or feedback that you give Astrocade is not confidential. Astrocade may use it for any purpose without restriction and without payment to you.

18.11 No injunctive relief. To the fullest extent permitted by applicable law, you agree that your remedies for any claim arising from Astrocade's use of Contest Content or your name, image, likeness, voice, or other rights granted under these Rules will be limited to monetary damages, if any, and you waive any right to seek or obtain injunctive or other equitable relief arising from such use. Any claim for monetary damages is subject to Section 21. You are not entitled to stop, restrain, or interfere with the production, distribution, advertising, or exploitation of any Astrocade product, content, or marketing.

19. Representations, Warranties, and Indemnity

19.1 Your representations and warranties. You represent and warrant, at the time of your Application and at all times through award of the Grand Prize, that:

  1. you meet every eligibility requirement in Section 5, and all information that you have given Astrocade is true, accurate, and complete;
  2. you or your contributors created your Contest Content, and you own or control every right needed to grant the licenses and other rights in Section 18;
  3. your Contest Content, and Astrocade's use of it as permitted by these Rules, does not and will not infringe or violate any right of any person or any law;
  4. you hold all licenses, permissions, consents, and releases necessary from each identifiable person depicted or included in your Contest Content and each person who contributed any material to it to permit the uses contemplated by these Rules;
  5. you have not generated or benefited from, and will not generate or benefit from, any Invalid Play;
  6. you have complied, and will comply, with all laws, including advertising and endorsement disclosure requirements, and with the terms of every platform that you use; and
  7. your participation in the Contest and your grant of the rights under these Rules do not breach any agreement that binds you.

The representations and warranties relating to Contest Content, third-party rights, and the rights granted under Section 18 survive the end of the Contest and continue for so long as Astrocade or its licensees exercise the applicable rights granted under these Rules.

19.2 Indemnity. You will defend, indemnify, and hold harmless the Released Parties, as defined in Section 21.1, from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, that arise out of or relate to your Contest Content, including any claim that your Contest Content infringes, misappropriates, or otherwise violates any copyright, trademark, right of publicity, right of privacy, or other intellectual property or proprietary right of any person; your conduct or the conduct of anyone who helps you; your breach of these Rules or of any representation or warranty in them; your violation of any law or of any right of any person; any tax owed by you; or any dispute between you and any other person concerning ownership of or rights in your Contest Content, your participation in the Contest or any agreement or arrangement concerning the Grand Prize.

20. Privacy, Communications, and Confidentiality

20.1 Personal information. Astrocade collects and uses your personal information as described in the Astrocade Privacy Policy and in these Rules. Astrocade may use your personal information to administer the Contest, to evaluate Applications, to verify identity and eligibility, to detect fraud, to pay the Grand Prize, to meet legal obligations, and to exercise the rights that you grant in Section 18. Astrocade may share your information with its affiliates and with service providers and production partners that support those purposes, including payment, identity verification, and background check providers.

20.2 Communications about the Contest. Astrocade may contact you, using the contact information in your Application, for the purpose of administering your Application and the Contest.

20.3 Future programs. Astrocade may keep your Application in accordance with its Privacy Policy and may contact you by email about future Astrocade creator programs, partnerships, and opportunities. You may opt out of marketing emails at any time using the unsubscribe mechanism provided in the communication.

20.4 Confidentiality. You must keep confidential all non-public information that you receive from Astrocade in connection with the Contest. This includes unreleased product features, internal data, other Contestants' information, your communications with Astrocade personnel, selection decisions and results before Astrocade announces them, and any reset, elimination, or format change before Astrocade announces it. You must not disclose this information to anyone without Astrocade's written permission.

21. Release and Limitation of Liability

21.1 Release. To the fullest extent the law allows, you release Astrocade, its parents, subsidiaries, and affiliates, its investors, its advertising, promotion, and production partners, the Contest host, and each of their respective officers, directors, employees, contractors, and agents (the "Released Parties") from every claim, liability, loss, injury, cost, expense and damage of any kind that arises out of or relates to the Contest. This includes your Application, your participation, any Contest-related activity or travel, any decision that Astrocade makes under these Rules, any cancellation, postponement, suspension or change to the Contest, and the acceptance, use, or misuse of any prize.

21.2 No responsibility for technical or human error. The Released Parties are not responsible for lost, late, incomplete, or misdirected Applications or communications; for technical, network, hardware, or software failures of any kind; for errors in the counting or display of plays; for unauthorized intervention in the Contest; or for typographical, human or other errors in any Contest material.

21.3 Disclaimer of warranties. The Contest, the Platform, and any prize are provided AS IS and AS AVAILABLE, without warranty of any kind, express or implied including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement, to the fullest extent permitted by applicable law.

21.4 Limitation of liability. To the fullest extent the law allows, the Released Parties will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any lost profits, lost revenue, lost opportunities, or lost followers or audience, that arise out of or relate to the Contest regardless of the theory of liability and even if advised of the possibility of such damages. To the fullest extent permitted by applicable law, the total aggregate liability of the Released Parties arising out of or relating to the Contest will not exceed US$ 100. Nothing in these Rules limits Astrocade's obligation to pay a Grand Prize that has been awarded and verified under these Rules, and nothing in these Rules limits any liability that the law does not allow to be limited.

21.5 No employment or other relationship. Nothing in these Rules or in your participation creates an employment, agency, partnership, joint venture, or fiduciary relationship between you and Astrocade. You are not an employee or contractor of Astrocade, you are not performing services for Astrocade, and you are not entitled to wages, benefits, or reimbursement. Your participation is voluntary.

22. Disputes and Governing Law

22.1 Terms of Service dispute provisions apply. The governing law, dispute resolution, arbitration, class action waiver, jury trial waiver, and venue provisions of the Astrocade Terms of Service in effect when you submit your Application apply to every dispute that arises out of or relates to these Rules or the Contest, and they are incorporated into these Rules by reference. In the event of any conflict between this Section 22 and the dispute resolution provisions of the Terms of Service, the Terms of Service control.

22.2 Fallback. To the extent that the Terms of Service do not address governing law or venue, the laws of the State of California, without regard to its conflict of laws rules, govern these Rules and every dispute that arises out of or relates to the Contest and the state and federal courts located in Santa Clara County, California have exclusive jurisdiction over any such dispute.

22.3 Time limit. To the fullest extent the law allows, you must bring any claim that arises out of or relates to the Contest within one year after the claim accrues, or the claim is permanently barred.

22.4 Disputes between participants. Astrocade has no obligation to mediate, investigate, or resolve any dispute between Applicants, between Contestants, or between a Contestant and any person who helped that Contestant or claims any interest in that Contestant’s Contest Content or Grand Prize.

23. General

23.1 Amendments. Astrocade may amend these Rules and the Contest Instructions at any time. An amendment takes effect when Astrocade posts it on the Contest website or sends it through the Official Channel. Your continued participation after an amendment takes effect is your acceptance of it. If you do not agree to an amendment, your only remedy is to withdraw from the Contest.

23.2 Interpretation. Astrocade has full and final authority to interpret and apply these Rules and the Contest Instructions, and to resolve every ambiguity, gap, inconsistency, and question that arises under them. Astrocade's interpretation is final and binding. You waive any right to claim that these Rules are ambiguous, and no provision will be construed against Astrocade because Astrocade drafted it.

23.3 Sole discretion. Wherever these Rules give Astrocade a right, a choice, or a determination, Astrocade may exercise it in its sole and absolute discretion and without any obligation to explain its decision, unless the provision expressly states otherwise.

23.4 No waiver; severability. Astrocade's failure to enforce any provision is not a waiver of that provision or of any other provision. If any provision of these Rules is found to be invalid or unenforceable, that provision will be enforced to the fullest extent the law allows, and the remaining provisions will remain in full effect.

23.5 Assignment. Astrocade may assign these Rules and any of its rights under them. You may not assign or transfer any right or obligation under these Rules.

23.6 Events beyond Astrocade's control. Astrocade is not responsible for any failure or delay that results from any cause beyond its reasonable control.

23.7 Entire agreement; survival. These Rules, the Contest Instructions, the Terms of Service, and the Privacy Policy are the entire agreement between you and Astrocade concerning the Contest. Sections 2.6, 6.5, 12, 16.5, and 17 through 23 survive the end, postponement, suspension or cancellation of the Contest and the end of your participation for any reason.

23.8 Third-party platforms. The Contest is not sponsored, endorsed, or administered by, or associated with, Apple, Google, YouTube, TikTok, Meta, Instagram, X, LinkedIn, or any other third-party platform. You release each of those platforms from all liability in connection with the Contest. You must comply with the terms of every platform that you use.

23.9 Headings. Headings are for convenience only and do not affect the meaning of these Rules.
